1. Acceptance of Terms & Eligibility
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Customer", "Organization", or "You") and Make1 Studio (operated under parent entity TenToSeven / Make1).
To use Make1 Studio, you represent and warrant that:
- You are at least 18 years of age or possess the legal authority to enter into binding agreements on behalf of an enterprise or entity.
- All registration details, brand URLs, and authentication credentials submitted are truthful, authentic, and kept updated.
- Your use of the Service complies with all applicable regional, national, and international laws, intellectual property rights, and platform regulations.
- You have not been previously suspended or terminated from our platform for policy violations.
2. Description of Services & AI Suite
Make1 Studio provides an integrated suite of artificial intelligence tools, marketing automation services, and e-commerce growth utilities, including:
- AI Product Creatives & Post Assistant: Generation of high-converting visual ads, packaging designs, lifestyle photo backdrops, automated typography overlays, and interactive surgical inpainting / delta editing.
- SEO Blog Assistant & CMS Publishing: Automated extraction of high-intent keywords, generation of structured long-form articles (with meta titles, descriptions, H2/H3 tags, FAQ schema), and 1-click publishing to Shopify, WordPress, WooCommerce, Webflow, and Ghost CMS.
- Website Intelligence & Brand Crawling: Automated crawling and extraction of product descriptions, catalog imagery, pricing, color palettes, and store policies from user-authorized store URLs.
- Social Media Publishing & Scheduling: Automated scheduling, media rendering, and direct cross-posting to Instagram Business, Facebook Pages, LinkedIn, YouTube, TikTok, Pinterest, and X.
- 24/7 AI Sales Chatbot & Geo Visibility: Storefront shopping assistance widgets, product recommendation triggers, and city-targeted local SEO engine pages.
3. User Accounts & Workspace Security
Access to Make1 Studio requires account registration via verified email credentials or Google Single Sign-On (OAuth). You are solely responsible for maintaining the confidentiality of your workspace login credentials and connected API keys.
- You agree to notify us immediately at ping@make1.in upon discovering any unauthorized account activity or security compromise.
- Make1 Studio cannot and will not be liable for any losses or damages arising from compromised API tokens or unauthorized credential sharing.
- Workspaces are assigned to specific registered entities and may not be shared, resold, or sublicensed without explicit prior written consent.
4. Subscription Plans, Credits & Razorpay Billing
Certain platform features, high-resolution rendering, and generative AI processing are offered via subscription plans (Monthly / Yearly) or credit quotas.
Payment Processing: Payments and recurring subscriptions are securely processed by authorized PCI-DSS compliant payment gateways, including Razorpay. We do not store raw card numbers on our servers.
Credit Allocation & Computational Costs: AI generation operations (creative generations, image edits, inpainting, long-form SEO blog articles, and scraping) consume compute credits. Unused monthly plan credits do not roll over unless expressly specified in your plan.
No-Refund Policy for AI Compute: Because generative AI infrastructure incurs direct, irreversible GPU and LLM computational costs at the time of execution, subscription fees and purchased credit packs are strictly non-refundable once generated assets or credits have been utilized, except where required by mandatory local consumer protection legislation.
Cancellation: You may cancel recurring subscriptions at any time via your Billing Settings. Cancellation takes effect at the end of the current paid billing cycle.
5. Intellectual Property & Commercial Ownership
Your Brand Assets: You retain complete ownership of all trademarks, brand logos, product photos, custom fonts, and copy uploaded to Make1 Studio ("User Assets"). You grant us a worldwide, royalty-free license solely to process, host, and render your assets to fulfill the Services.
AI Generated Outputs: Subject to your compliance with these Terms and third-party AI provider policies, Make1 Studio assigns to you all right, title, and interest in and to the creative designs, marketing banners, and blog articles generated specifically for you ("Output"). You possess full commercial usage and advertising rights for your generated outputs.
Platform Technology: All proprietary software, user interface designs, prompt engineering architecture, inpainting pipelines, codebases, and brand marks of Make1 Studio remain the exclusive intellectual property of Make1 Studio and TenToSeven.
6. Website Intelligence & Content Scraping
When you submit a store or domain URL to Make1 Studio's Website Intelligence engine:
- You warrant and represent that you are the lawful owner or authorized representative of the submitted domain URL, or that the URL is publicly accessible and lawful to analyze.
- You authorize our automated scraping bots to fetch publicly available catalog titles, descriptions, imagery, color schemes, and store policies solely to train your private workspace knowledge base.
- You agree not to submit competitor URLs or protected copyrighted catalogs that you do not have permission or legitimate interest to analyze.
8. Acceptable Use & Content Guidelines
You agree never to use Make1 Studio to create, edit, publish, or distribute content that:
- Infringes on third-party patents, copyrights, trademarks, or trade secrets.
- Generates illegal, harmful, sexually explicit, hate speech, or defamatory materials.
- Creates deceptive impersonations, non-consensual synthetic media, or misleading medical/financial advice.
- Attempts to probe, reverse-engineer, overwhelm, or bypass API rate limits or security firewalls of Make1 Studio.
- Violates anti-spam policies or abusive bot posting regulations on connected social networks.
9. AI Generation Disclaimers & Inpainting
Our AI models (powered by state-of-the-art visual diffusion and large language models) synthesize creative assets and text based on probabilistic algorithms. While advanced, outputs may occasionally contain minor visual artifacts, lighting variations, or textual hallucinations.
You are solely responsible for reviewing and proofreading all AI-generated copy, product claims, ingredient labels, pricing, and visual creatives before publishing them to public social media accounts or deploying paid ad campaigns. Make1 Studio is not liable for typographical errors or unverified assertions made in AI-generated outputs.
10. Warranties & Limitation of Liability
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAKE1 STUDIO DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL MAKE1 STUDIO, ITS OPERATORS, AFFILIATES, OFFICERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA LOSS, REVENUE LOSS, OR AD ACCOUNT SUSPENSION BY THIRD-PARTY NETWORKS). OUR TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO MAKE1 STUDIO IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
11. Suspension & Termination
You may close your account at any time via your workspace profile settings or by contacting our support team.
We reserve the right to suspend or terminate your access immediately, without prior notice, if we detect fraudulent activity, systematic violation of these Terms, unauthorized scraping/reverse engineering, or non-payment of applicable subscription fees.
12. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any dispute or claim arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Gujarat, India.
